Seller Terms & Conditions

Last updated: [DATE] · Ughelli Market Hub · Ughelli, Delta State, Nigeria

This is a starting template, not finished legal advice. Have a Nigerian lawyer review this before relying on it — the commission, payout, and liability sections carry real legal and financial weight once real vendors and real money are involved.

1. Who this applies to

These terms apply to anyone who applies to sell products, food, hotel rooms, or real estate listings on Ughelli Market Hub ("the platform"), whether or not your application has yet been verified. They apply in addition to our general Terms of Service and Privacy Policy.

2. Verification

To list anything for sale, you must submit a valid government-issued ID and accurate business information for review. We may reject or request more information at our discretion. Providing false identity or business information is grounds for immediate rejection or, if discovered later, suspension and forfeiture of any pending payout.

Once verified, your new listings are approved automatically without individual pre-review — this is a privilege based on your verification, not a right, and can be revoked (returning you to manual review or suspension) if your listings or conduct violate these terms.

3. Listing accuracy — this matters more than almost anything else here

Every listing must accurately describe what the buyer is actually getting: honest condition (new, refurbished, or used — and which grade of used), accurate brand/model where applicable, and a description that doesn't overstate or misrepresent the item, food, room, or property. Misrepresenting condition or materially misleading a buyer is a direct violation of these terms and may result in the listing being removed, the sale disputed in the buyer's favor, and/or account suspension.

4. Commission & payout

Ughelli Market Hub charges a commission on each completed sale, shown to you as a percentage that may be adjusted by the platform from time to time (changes apply to new orders only, never retroactively to orders already placed). Your dashboard shows, for every order, the total amount, the commission taken, and your actual payout.

Payout happens after the buyer confirms delivery (or, if disputed, after our team resolves the dispute) and is currently paid to you directly by the platform operator outside the app — [confirm and state your actual payout schedule and method here before launch, e.g. "within X business days via bank transfer"].

5. Fulfilling orders

Once payment is confirmed, prepare and ship/deliver promptly. At handover, request the buyer's delivery code before releasing the item — this protects you too, since it confirms you handed goods to the right person. Do not release goods without it.

6. Prohibited conduct

You may not: list counterfeit, stolen, illegal, or prohibited goods; misrepresent listing condition, authenticity, or availability; request or accept payment from a buyer outside the platform's escrow system to avoid commission (this is grounds for immediate suspension); post fake or manipulated reviews of your own business; or use the messaging system to solicit off-platform deals.

7. Reviews and reports

Buyers may publicly review your business and may report you for suspected fraud or misconduct even without a completed order. Reports are reviewed by our team before any suspension — you will not be suspended solely because a report was filed, but repeated or substantiated reports can lead to suspension.

8. Real estate listings

Property listings are inquiry-only. Ughelli Market Hub does not process, hold, or guarantee any funds for property transactions — these are arranged directly between you and the buyer, entirely outside our escrow system, and outside our responsibility for the transaction's outcome.

9. Taxes and legal compliance

You are solely responsible for any taxes, business registration, and regulatory compliance applicable to your sales — the platform does not file or withhold taxes on your behalf. [Confirm this position with an accountant/lawyer before launch, especially as your vendor base grows.]

10. Suspension & termination

We may suspend or terminate your seller account for violating these terms, repeated valid complaints, or safety concerns, with immediate effect where buyer safety or fraud is involved. You may contact support to appeal a suspension.

11. Limitation of liability

[This section needs a lawyer's input — it typically limits the platform's liability for payment delays, technical outages, or disputes between you and a buyer. Do not rely on a placeholder here.]

12. Governing law

These terms are governed by the laws of the Federal Republic of Nigeria.
